Gadson H. Woodall, III

CEO

Bio

Gad has been actively involved in real estate acquisition and development for over 20 years is
the Chief Executive Officer and majority owner of Charrette Development Group.  In addition to
The Retreat at Inland Lake, Gad has three other developments currently in process, including
Gadson’s Crossing, a mixed-use, high-end development focusing on commercial, retail,
and residential products, Gadson’s Village at Jodeco, another mixed-use project focusing on
commercial and retail products, and Morning Falls, one of the first conservation subdivisions
located in Fayette County, Georgia.

Prior to starting Charrette Development Group in 2003, Gad managed all phases of land acquisitions
throughout the southeastern United States for Mike Davis of Davis Development, a highly-profitable,
privately-owned Georgia-based developer.  In this connection he was responsible for all site
analyses, development feasibility, contract negotiations, all entitlement and permitting issues,
and project management.  

For 9 years prior to Davis Development, Gad was vice president of GAMA Development Group where
he was actively involved in major land acquisitions and development, including the fifth runway
project at Atlanta’s Hartsfield-Jackson International Airport, Atlanta Beach Sports &
Entertainment Park, and four other 200 plus acre acquisition and development projects for commercial,
residential, and mixed-use products.  In 1996, Gad was involved in successfully negotiating on behalf
of Atlanta Beach Sports & Entertainment Park for the Park to serve as the 1996 Olympics volley ball venue.



Gadson H. Woodall, Jr.

Mr. Woodall is an electronics engineer with twenty-three years of experience in the areas of
engineering and installation of electronic systems for the Federal Aviation Administration (FAA).
In addition, he was employed by the Washington Consulting Group and Lockheed Martin Corporation
from February 1996 until April 2005 as a coordinator of facilities and equipment installations in
the Atlanta Systems Management Office (SMO). Experience in these areas has provided a broad
knowledge of FAA radar systems, display systems and peripheral equipment associated with these
systems. The goals of these activities were to assure that the FAA receives well engineered and
installed systems that complement and enhance the National Airspace System and individual Airport
Air Traffic Control Systems.

Mr. Woodall attended the Florida Institute of Technology in Melbourne, Florida where he obtained
a Masters Degree in Electronics Engineering. Gad obtained his B.A. in Mathematics at Mercer
University in Macon, Georgia.

Mr. Woodall worked for The Washington Consulting Group and Lockheed Martin Corporation as a
Senior Systems Engineer.  Working under contract with the FAA, Mr. Woodall coordinated Facilities
and Equipment projects for all installation activities in the Atlanta System Management Office.
This involved projects in radar, communications, and navigational aids in the SMO area of
responsibility that encompassed all facilities in the state of Georgia.  Duties included review
of plans and specifications, engineering packages, flight inspection plans, data testing and
conducting Joint Acceptance Inspections with local FAA offices.  Mr. Woodall served as the technical
point of contact for all activities on the Center/TRACON Automation System for both the Atlanta ARTCC
and Atlanta TRACON facilities. He insured that all pre-installation planning, installation testing
and equipment acceptance were coordinated with Maintenance and Air Traffic Control personnel in both
the Atlanta ARTCC and Atlanta TRACON facilities.  Mr. Woodall completed the Terminal Area Facility
Transition Plan for the Columbus Georgia Metropolitan Airport that included all project activity
planned for a five year period.  Mr. Woodall completed periodic updates of the En Route Facility
Transition Plan for the Atlanta ARTCC in Hampton Georgia.

Mr. Woodall worked for Federal Aviation Administration where he retired as an Airway Facilities
Division Section Supervisor.  Mr. Woodall was employed as Radar Section Supervisor in the Establishment
Engineering Branch of the Airway Facilities Division. He was responsible for establishment,
commissioning, and major modification of radar systems, display systems and digitizing equipment
including Airport Surveillance Radar, Air Route Surveillance Radar, Digital Bright Radar Indicator
Tower Equipment, Mode-S Beacon    and Common Digitizer for long range radar. The section included an
engineering unit in which project engineering was completed and an installation unit where electronic
installation was completed. The section included two unit supervisors and approximately thirty
engineers and technicians.  Mr. Woodall was the Unit Supervisor over the Installation Unit in the
Radar Section. He was technical and administrative supervisor of approximately twenty engineers and
technicians for installation of radar equipment in the Southeastern United States.  Mr. Woodall
Was employed as Unit Supervisor of the Engineering Unit in the Radar Section. He was responsible for
engineering for installation of radar systems installed in various locations in the Southeastern
United States. He was technical and administrative Supervisor for ten electronics engineers.

Mr. Woodall had maintenance engineering responsibility for long range radar, radar beacons, common
digitizer, and ARTCC radar/automation equipment in the Southeastern United States. Normal duties
included trend analysis for equipment outages and participation in joint evaluations of long range
radar systems with Air Force Evaluation Teams.

Mr. Woodall was employed as program/project engineer in the Radar/Automation Section. He completed
all engineering on the installation of fifteen ASR-8 radar systems, the relocation of five ASR-4/5/6
radar systems and associated remote site display systems. He also completed engineering on numerous
smaller projects including video mapping, BRITE display systems, and beacon decoder relocations.
Additionally he completed engineering on ASR-4/5/6 dual beam modifications, numerous five foot
open planer array beacon antennas and the radar beacon performance monitor program. His duties
included acting as a team member in the sighting of ASR/Beacon Systems. This included analyzing
panoramic photographs of sites to assess potential radar shielding and reflection problems with
the associated beacon systems.

Mr. Woodall was employed as an electronic installation engineer in the Radar/Automation Section.
He was assigned to various installation projects including the common digitizer integration for
the Memphis Air Route Traffic Control Center. Other major efforts were re-sectoring at the Memphis,
Jacksonville, and Atlanta Air Route Traffic Control Centers.

Steven R. Wakefield, CPA, MBA

CFO

Bio

Mr. Wakefield began his career fifteen years ago at Deloitte and Touche. Since then he has proven
to have the unique skillset that has made him invaluable to multi-national companies as well as
the sole proprietor. Having tackled challenges that others found unsolvable, Steve has built a
reputation of being “the guy who can get it done.” He has demonstrated this talent numerous
times, from serving as the VP of Finance and Accounting for a successful venture capital company
to serving as the CFO / COO for a fast-growing and successful IT staffing company.  Uniquely
talented and resourceful, Steve has a way of pulling it all together. He’s not only built
accounting and finance functions from the ground up, but he has obtained operating capital and
developed the reporting that business owners and executives need to run their businesses. Steve
has also implemented a wide variety of systems including SAP, Oracle, PeopleSoft, Lawson,
Quickbooks and Peachtree both domestically and internationally. At Legacy, Steve’s focus is on
his favorite part of business, “the unique, real-world challenges – because they often present
opportunity.” Steve’s motto is simple: “Cash Is King, Profitability a Must, Execution is Key.”  
Even in his spare time his activities are diverse, ranging from part time college instructor at
Georgia State University to playing golf and running marathons. Steve’s focus foremost, however,
is the legacy that he will leave for his children, Jackson and Reagan. His greatest joy is
his family.

Mr. Wakefield attended the University of Alabama where he obtained his MBA, MBA from September
1988 – May 1990 Small Business Development Center Consultant.

Mr. Wakefield also attended Troy State University where he obtained his BS, Accounting from
September 1983 – November 1987 Activities and Societies: Sigma Chi Fraternity.

Dan C. Fort

Principal and Financial Advisor

Bio

Mr. Fort is financial advisor to Gad Woodall, Charrette Development Group and The Retreat at
Inland Lake.  He is Chief Executive Officer of Walnut Creek Capital Advisors, an NASD registered
investment banking and financial advisory firm.  Prior to founding Walnut Creek Capital Advisors,
Dan spent over 30 years in corporate finance as a Partner with Ernst & Young, a global
professional services firm.  He joined Ernst & Young in 1972 and was instrumental in developing
the firm’s corporate finance business in the United States, founding and managing the southeast
practice headquartered in Atlanta.  Dan has advised hundreds of small and middle-market companies
in various industries with business strategy, merger, acquisition, financing, and divestiture
needs.  In many cases the transactions in which Dan was involved included larger, multi-national
enterprises including Philip Morris, Bank of America, Citigroup, J. P. Morgan Chase, Wachovia,
The Home Depot, and Safeco Insurance.  Dan also is an owner and director of a North Carolina
real estate investment company and a Georgia technology services company.

Mr. Fort is a CPA and received his AB and MBA degrees from the University of North Carolina at
Chapel Hill where he was a North Carolina Business Foundation Fellow.  He has been a contributing
author to The Atlanta Business Chronicle and The Ernst & Young Guide to Mergers and Acquisitions.

Cecil W. Ingram, III

President

The Retreat at Inland Lake

Bio

Mr. Ingram is responsible for Real Estate Brokerage, Property Management, Real Estate Development
and General Business Consulting for The Retreat.

Mr. Ingram worked for The Bank as Vice President of Real Estate and
Morris Avenue Management Group, Inc., as President.  He was responsible for construction and
maintenance for The Bank’s locations, renovation of a 21 story Birmingham historical landmark
building into condominiums for banking, commercial, residential, and private club use.  He
received from Department of Interior “Certified Rehabilitation” status for the above building,
qualifying for 20% historical tax credit totaling over $6.3 million.  He directed development
of protective covenants and oversaw condominium operations as well as Developing and overseeing
installation of the buildings mechanical, electrical, and plumbing core systems.  Mr. Ingram
Managed Security, Maintenance, and Housekeeping for The Bank Condominiums, The Bank-Birmingham,
The Banc Corporation, The Birmingham Athletic Club and Morris Avenue Management Group.

Mr. Ingram worked with Optimize, Incorporated as Chief Executive Officer
Optimize is an Internet Services Company concentrating on computer based training applications
relating to current compliance issues.

Mr. Ingram worked for American 3CI as Southeastern Sales Manager which is a
Medical Waste Management Company, Alabama Hospital Association liaison.

Mr. Ingram also worked for Biomed, Incorporated as General Manager for Alabama.  Biomed is a
Medical Waste Management Company.

Mr. Ingram worked for River Bay Corporation as Director of Compliance and Regulatory Affairs
and as the Alabama Sales Manager.

Mr. Ingram worked for Thompson Realty Company as Executive Assistant to the President
Mr. Ingram was in charge of all real estate sales and development for Shoal Creek, a private
golf club community.  He directed first rewrite of protective covenants and gained required 90%
approval to enact.  Mr. Ingram was Responsible for re-surveys, lake and road construction.  
He managed the homeowners association, architectural committee and residential services.  
Supervised all in-house maintenance of Shoal Creek Club, including rental cottages,
related buildings, waste water treatment plant, and on-site utilities.
